These Terms of Service ("Terms") govern your access to and use of the website wyachts.shop (the "Site") and any products, services, or content offered through it. By using the Site or purchasing from it, you agree to these Terms.
1. Who we are
The Site is operated by two affiliated entities working under the W Yachts Monaco brand:
- Tomasz Wrzesiński, Entrepreneur Individuel, 4 Rue Gioffredo, 06000 Nice, France · RCS Nice 990 299 489 — operating the Site, advisory services, and merchandise sales.
- W/Brokerage SARL, 16 Quai Jean-Charles Rey, 98000 Monaco — operating yacht brokerage and charter arrangement under Monégasque law.
Showroom and viewings are arranged at Port Camille Rayon, Quai Napoléon, 06220 Golfe Juan, France.

References in these Terms to "we", "us", and "our" mean whichever of the above entities is contracting with you for the specific product or service in question, as identified at checkout and in your order confirmation.
2. What we sell
Through the Site we offer:
- Yacht acquisition services — listings of new, brokerage, and off-market vessels. Yacht purchases are not concluded through the online checkout; the online listing is an invitation to discuss, with the binding transaction governed by a separately signed Memorandum of Agreement (MYBA, IYBA, or equivalent).
- Yacht charters — bookings for crewed vessel charters operated by third-party owners under standard charter contracts (MYBA or equivalent).
- Advisory services — private 1-on-1 sessions, technical audits, on-board viewing strategy, and exclusive buyer representation.
- Mentorship programmes — multi-month structured education for prospective brokers.
- Books and merchandise — physical printed editions, limited-numbered albums, branded apparel, and related items.
Where a product or service is supplied by a third party (e.g. a vessel owner, charter operator, or production partner), we act as introducer or fulfilment intermediary as disclosed on the product page or in the order confirmation.
3. Your account and orders
To place an order you do not need to create an account, but if you do, you are responsible for keeping your credentials secure.
When you submit an order through the Site, you are making an offer to purchase the listed product on these Terms. Your order is accepted, and a binding contract is formed, when we send you an order confirmation email. We reserve the right to refuse or cancel any order, including for reasons of pricing error, suspected fraud, sanctions screening, or where the underlying asset (e.g. a listed yacht) has become unavailable; in that case any payment taken will be refunded in full.
Prices on the Site are in EUR and, unless explicitly stated otherwise, are exclusive of applicable VAT, customs duties, registration fees, mooring fees, insurance, fuel, and crew gratuities. Final pricing for vessels and charters is confirmed in the relevant MOA or charter contract.
4. Brokerage relationship
For yacht acquisitions and charters, we act as a broker / intermediary, not as the seller or owner, unless explicitly stated. Our duty in such cases is to introduce qualified counterparties and to facilitate the transaction in accordance with industry custom (MYBA / IYBA / CYBA practice). Title, ownership representations, and warranties about the vessel itself flow from the vessel's owner under the MOA, not from us.
For advisory engagements, the scope, deliverables, and limitations of our engagement are set out in the relevant product description and confirmed in writing before delivery begins.
5. Acceptable use
You agree not to use the Site:
- For any unlawful purpose, or in any way that breaches applicable sanctions, anti-money-laundering, or counter-terrorism financing law;
- To impersonate any person or entity, or to misrepresent your affiliation with a person or entity;
- To scrape, reverse-engineer, copy, or republish Site content (including listing photography and editorial text) without our prior written consent.
We carry out customer due diligence on transactions of material size, in line with applicable AML/KYC requirements; we may request proof of identity, beneficial ownership, and source of funds before completing any vessel acquisition.
6. Intellectual property
All content on the Site — including logos, photography, editorial copy, video, layout, and the "W Yachts" name and visual identity — is owned by or licensed to Tomasz Wrzesiński and is protected by French and international intellectual property law. You may not reproduce, distribute, or create derivative works from any Site content without prior written permission, except for personal, non-commercial viewing.
Third-party trademarks (yacht builders, marinas, partners) are referenced for identification only and remain the property of their respective owners.
7. Disclaimers and limitation of liability
Listings, specifications, hours, and prices on the Site are provided in good faith from sources we believe reliable but are not warranted as accurate or current. Before any binding decision, all material specifications must be verified through formal sea trial and condition survey under the relevant MOA.
To the maximum extent permitted by law, our aggregate liability to you for any claim arising out of or in connection with the Site, a Site purchase, or any service we provide is limited to the amount you actually paid to us for the specific transaction in question. We are not liable for any indirect, consequential, or punitive damages, including loss of profit, loss of use, or loss of charter opportunity.
Nothing in this section excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or gross negligence.
8. Privacy
Your personal data is processed in accordance with our Privacy Policy, which forms part of these Terms.
9. Changes to these Terms
We may revise these Terms from time to time. The version in force at the time of your order applies to that order. Material changes will be posted on the Site with an updated "Last updated" date; continued use of the Site after a change constitutes acceptance of the revised Terms.
10. Governing law and jurisdiction
These Terms and any contract formed under them are governed by French law, except where the contracting entity is W/Brokerage SARL, in which case Monégasque law applies.
For consumer disputes, you may bring proceedings before the courts of your country of residence within the EU/EEA, in addition to the courts of Nice (for Tomasz Wrzesiński) or the Tribunal de Première Instance de Monaco (for W/Brokerage SARL). For non-consumer disputes, the courts of Nice and Monaco, respectively, have exclusive jurisdiction.
EU consumers may also access the European Commission's Online Dispute Resolution platform.
11. Severability
If any provision of these Terms is held unenforceable, the remainder will continue in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' intent.
